Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Supra eKEY Systems ("Company," "we," "us," or "our") governing your access to and use of our property access platform, website, mobile application, and related services (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Eligibility and Account Registration

To use the Services, you must:

• Be at least 18 years of age.
• Be a licensed real estate professional, authorized agent, property manager, or otherwise designated party with legitimate need to access the property in question.
• Provide accurate, complete, and current registration information.
• Maintain the security of your credentials and accept responsibility for all activity under your account.

We reserve the right to deny access to any individual or entity at our sole discretion.

2. Description of Services

Supra eKEY Systems provides a secure digital key platform that enables authorized individuals to access Supra iBox lockboxes attached to real estate properties. The Services include:

• Generation and delivery of time-limited electronic access keys (eKeys).
• Access logging, audit trails, and monitoring.
• Mobile application for key entry and lockbox communication.
• Administrative tools for property managers and listing agents.

3. Authorized Access Only

You agree that you will:

• Only access properties for which you have been granted explicit authorization.
• Access properties only during the authorized inspection window.
• Not share, transfer, or attempt to duplicate your eKey or access credentials.
• Immediately report any unauthorized access or suspicious activity to us at [email protected].
• Comply with all applicable laws regarding property access in your jurisdiction.

4. Prohibited Conduct

You agree not to:

• Access any property without prior written authorization from the property owner or listing agent.
• Attempt to circumvent, bypass, or defeat any security feature of the Services or associated hardware.
• Reverse engineer, decompile, or disassemble any component of the Services.
• Use the Services for any unlawful purpose, including burglary, trespass, or unauthorized surveillance.
• Share access keys, credentials, or unique links with any unauthorized person.
• Engage in automated scraping, mass access attempts, or denial-of-service attacks against our infrastructure.
• Impersonate any person or entity, or misrepresent your affiliation or credentials.
• Attempt to access administrative or backend systems without explicit authorization.

5. Access Key Terms

• Each eKey is valid for a single authorized inspection window only.
• eKeys are non-transferable and linked to the authorized user's device.
• All access events are logged and time-stamped for security purposes.
• We reserve the right to revoke any eKey at any time without notice if we suspect misuse.
• Expired or revoked keys will not function regardless of whether they were previously activated.

6. Intellectual Property

All content, software, trademarks, logos, and materials associated with the Services are the exclusive property of Supra eKEY Systems or our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for their intended purpose. This license does not include the right to reproduce, modify, distribute, or create derivative works of any portion of the Services.

7. Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy.

8. Service Availability and Modifications

We do not warrant that the Services will be available at all times, free of errors, or uninterrupted. We reserve the right to modify, suspend, or discontinue the Services at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUPRA EKEY SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PROPERTY DAMAGE, THEFT, LOSS OF DATA, OR LOSS OF PROFITS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Supra eKEY Systems and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any law or third-party rights; or (d) any property damage, theft, or other harm resulting from unauthorized or improper use of an eKey.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Oklahoma, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall first be submitted to binding arbitration in accordance with the American Arbitration Association's Consumer Arbitration Rules. The arbitration shall take place in Oklahoma City, Oklahoma.

13. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, all licenses granted to you will immediately cease.

14. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any additional agreements you have entered into with us, constitute the entire agreement between you and Supra eKEY Systems regarding the Services.
